Terms of Service

These Terms of Service ("Terms") govern your use of InFactLive (the "Service"), operated by InFactLive ("we," "us," or "our") and accessible at infactlive.com. By accessing or using InFactLive, you agree to be bound by these Terms. If you do not agree, do not use the Service.

What InFactLive provides

InFactLive aggregates and displays publicly available financial data from sources including the U.S. Securities and Exchange Commission (SEC). This includes:

• Insider trading filings (SEC Form 4)
• Institutional holdings filings (SEC Form 13F-HR)
• Stock price data and related market information
• Aggregated and derived metrics based on the above

We do not generate, originate, or guarantee the accuracy of this data. We are an aggregator and visualization tool. The original source for the underlying filings is the SEC's EDGAR system, which any member of the public can access directly at sec.gov/edgar.

No financial advice

Nothing on InFactLive constitutes financial, investment, legal, or tax advice. We do not have a fiduciary relationship with you. The data we display, the interfaces we build around it, and any commentary, analysis, or visualization we provide are for informational purposes only.

You acknowledge that:

• Trading securities involves substantial risk and you could lose all of your invested capital
• Insider trading data, while informative, is not a reliable predictor of future stock performance
• You should not make investment decisions based solely on information from InFactLive
• You should consult with a licensed financial advisor before making investment decisions
• We are not responsible for any financial losses or gains you experience based on your use of the Service

Accuracy of information

We make reasonable efforts to ensure that data on InFactLive is accurate, complete, and up to date. However:

• We do not guarantee accuracy. SEC filings can contain errors. Our parsing of those filings can contain errors. Real-time data feeds can have gaps or delays.
• Data may be delayed, incomplete, or temporarily unavailable due to technical issues, source delays, or maintenance.
• Historical data may be revised as we improve our processing or as source filings are amended.
• You should verify critical information against the original SEC filings before relying on it for any decision.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

Account registration

Some features of InFactLive require you to create an account. When you create an account, you agree to:

• Provide accurate and complete information
• Keep your password confidential and not share your account with others
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activity that occurs under your account
• Be at least 13 years of age (or older if required by your jurisdiction)

You may create an account using your email address and a password, or by signing in with a third-party identity provider such as Google. We use Amazon Web Services Cognito to handle authentication. See our Privacy Policy for details on what information we collect.

Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Service, our systems, or other users' accounts
• Scrape, crawl, or use automated means to extract data from the Service except as expressly permitted
• Resell, redistribute, or commercially exploit data from the Service without our written permission
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service in a way that places excessive load on our infrastructure or interferes with other users
• Submit false, misleading, or malicious data to the Service
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Service to harass, abuse, or harm others
• Circumvent any rate limits, paywalls, or other technical restrictions we may put in place

We reserve the right to suspend or terminate accounts that violate these rules at our discretion, without notice.

Subscription tiers and payments

InFactLive currently offers a free tier. We plan to introduce paid subscription tiers in the future. When paid tiers become available:

• Subscription pricing, features, and terms will be clearly disclosed before you subscribe
• Payments will be processed by a third-party payment processor (such as Stripe). We will not directly handle your payment information.
• Subscriptions will renew automatically unless cancelled before the renewal date
• You can cancel a subscription at any time through your account settings or by contacting us
• Refund policies will be specified at the time of purchase

This section will be updated when paid tiers launch.

Intellectual property

The InFactLive name, logo, website design, software, user interface, and all original content we create are our intellectual property and are protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or create derivative works without our written permission.

The underlying financial data we display (SEC filings, stock prices) is sourced from public records and third parties. We make no claim of ownership over this raw data.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, royalty-free license to use it for the purpose of operating and improving the Service.

Third-party services and links

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that we are not responsible or liable for any damage or loss caused by your use of any third-party site or service.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY DATA OR INFORMATION PROVIDED.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFACTLIVE AND ITS OPERATORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any investment decisions made based on information from the Service
• Errors, inaccuracies, or omissions in any data displayed

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Indemnification

You agree to indemnify, defend, and hold harmless InFactLive and its operators from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of any third party.

Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to a violation of these Terms.

You may stop using the Service at any time. If you wish to delete your account, email us at patrick@infactlive.com and we will remove your account and associated personal data within 30 days.

Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to these Terms

We may modify these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, notify you by email or through a prominent notice on the Service. Your continued use of InFactLive after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of those courts.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and InFactLive regarding the Service and supersede any prior agreements between you and InFactLive relating to the Service.
